Terms of Service

How restoc's countertop merchandise display service works — plans, payment, ownership, and everything in between. Businesses that sign up with restoc receive a complete, signed Service Agreement covering their specific account; this page is the general reference version.

By using restoc's display service, you're agreeing to the terms below. They're written in plain language on purpose — if anything here doesn't match what's in your signed Service Agreement, your signed agreement controls.

01Services Provided

restoc provides a countertop merchandise display service for convenience stores, gas stations, and similar retail locations. This includes initial display setup at your location, sourcing a modern phone and electronic accessory product assortment, delivery of initial inventory, organizing and maintaining the physical display, monitoring inventory levels, and scheduled restocking visits at the frequency included in your selected plan.

02Initial Setup

When you sign up, restoc delivers an initial inventory package and display fixture to your location. The specific equipment and starting inventory are documented in your signed Service Agreement.

03What a Restocking Visit Means

A restocking visit means restoc checks current inventory levels, organizes and straightens the display, identifies products that are sold out or running low, and replenishes those products as needed — up to the inventory allowance included in your plan.

A restocking visit does not mean restoc provides an entirely new display, replaces every product, or delivers a fixed number of new units regardless of what actually sold. How often we visit is controlled by your plan; how much product is replenished at each visit is controlled by your inventory allowance.

04Inventory Allowance

Each plan includes a monthly product allowance. Replenishment during a service visit will not exceed that allowance. If your display has sold through more than the allowance covers, restoc will replenish up to the allowance and can offer to supply the remainder as additional inventory, invoiced separately at our then-current rates. Unused allowance does not roll over to a future month unless we agree to that in writing.

05Product Assortment

The specific products on your display may change over time based on supplier availability, manufacturer discontinuations, compatibility with current devices, seasonal availability, and how products are actually selling at your location. restoc may substitute a reasonably comparable product when a specific item is unavailable.

06Retail Pricing

You set and control the final retail price charged to your own customers for every product on the display, unless we separately agree in writing to a different arrangement. restoc does not set, cap, or guarantee your retail pricing.

07No Sales or Profit Guarantee

restoc does not guarantee that any product will sell, and does not guarantee any specific revenue, profit, margin, sell-through rate, or level of customer demand. Any suggested retail prices, example margins, or potential-profit figures we provide — on this site, in marketing materials, or verbally — are estimates and examples only, based on typical pricing, and are not a promise of actual results at your location.

08Payment

Payment is due according to the billing frequency you select — monthly or annual prepay. Monthly payment is due on or before the visit date associated with each billing cycle, or as otherwise stated on your invoice. If a payment becomes past due, restoc may suspend future scheduled visits until the balance is resolved, but will give reasonable notice before doing so. We don't charge compounding interest, hidden fees, or punitive penalties on a late payment.

09Annual Prepayment

Customers who choose annual prepayment pay a discounted annual rate for twelve months of service at their plan's visit frequency:

If you want to end service before your prepaid period is up, we'll work out a reasonable resolution together — which may include a prorated refund for unused months, transferring the remaining period to a different plan, or another arrangement we both agree to.

10Renewal

Annual plans expire at the end of the twelve-month period and do not automatically renew — continuing service after that requires a new agreed term. Monthly plans continue month-to-month until properly cancelled.

11Cancellation

Monthly plan customers can cancel at any time with reasonable advance written notice (a text, email, or letter all work) — the exact notice period is set out in your signed Service Agreement. Cancellation takes effect at the end of the current billing cycle. Merchandise already delivered to your location remains yours, subject to the display ownership terms in your agreement.

12Ownership of Merchandise

The individual products on the display — chargers, cables, earbuds, and similar accessories — become your property once delivered to and accepted at your location, subject to your payment obligations.

13Ownership of the Display Fixture

Whether the display fixture itself belongs to you or remains restoc's property is specified in your signed Service Agreement. If it remains restoc's property, we'll coordinate a reasonable time to remove it if service ends.

14Lost, Stolen, or Damaged Inventory

Once merchandise has been delivered to and accepted at your location, restoc generally isn't responsible for theft, customer damage, misuse, or loss occurring at your location, except as required by law. You're responsible for reasonable security of the display and its contents once delivered.

15Defective Products

If you find a defective product, let us know as soon as reasonably possible with a description of the issue. We'll work with you in good faith to address it — which may mean a replacement, credit, or return to the manufacturer, depending on what the manufacturer or supplier allows.

16Returns

Requests to return, exchange, or remove slow-moving products are handled case-by-case, in good faith. restoc isn't obligated to repurchase or refund unsold inventory unless we separately agree to in writing.

17Product Safety & Warranties

restoc doesn't represent that products carry any specific certification or regulatory compliance beyond what's documented by the manufacturer. Any manufacturer warranty remains a warranty of that manufacturer, not of restoc. Nothing here is intended to disclaim any warranty or consumer protection right that can't legally be disclaimed under applicable law. See our Product Sourcing & Certification page for more detail.

18Supply Interruptions

Our ability to deliver or restock specific products can be affected by circumstances outside our control — supplier delays, shipping delays, shortages, and discontinuations. restoc won't be in breach of these terms solely because of such delays, and may substitute a reasonably comparable product with reasonable notice to you.

19Access to Your Location

You agree to give restoc reasonable access to the display area during scheduled visits, during your normal business hours or another time we agree on.

20Your Responsibilities

You're responsible for your own normal retail operations — setting retail prices, operating your checkout, collecting payment from your own customers, and providing reasonable day-to-day security and oversight of the display once delivered.

21Taxes

Applicable sales, use, and other transaction taxes are handled in accordance with applicable law and any valid resale or exemption documentation on file. These terms don't determine whether any portion of restoc's fees is taxable or tax-exempt — that's determined in consultation with a qualified tax professional.

22Relationship of the Parties

restoc/GrapeLabs is an independent business providing services to you. Nothing here creates an employment relationship, partnership, franchise, agency, or joint venture. Neither party has authority to bind the other except as expressly stated in a signed agreement.

23Limitation of Liability

To the maximum extent permitted by law, restoc's total liability arising out of or related to our service will not exceed the total amount you actually paid restoc in the twelve months immediately preceding the event giving rise to the claim. Neither party will be liable for indirect, incidental, or consequential damages (like lost profits), except where such a limitation isn't permitted by law.

24Indemnification

Each party is responsible for claims arising from its own negligence or willful misconduct in connection with the service, to the extent permitted by law.

25Governing Law & Disputes

These terms are governed by the laws of the State of Idaho. Before pursuing a formal claim, we agree to first try to resolve any dispute in good faith through direct discussion.

26Entire Agreement & Changes

Your signed Service Agreement, Plan & Pricing Sheet, and current invoice represent the full understanding between us for your account. Any change to pricing, your inventory allowance, your plan, or another material term has to be agreed to in writing (email is fine) before it takes effect. We may update the general terms on this page from time to time; the version in your signed agreement governs your specific account.

27Severability

If any part of these terms is found invalid or unenforceable, the rest continues in full force, and the invalid part will be interpreted to reflect the original intent as closely as possible.

28Assignment

Neither party may transfer its major rights or obligations under these terms to someone else without the other's prior written consent, except that restoc may assign this agreement as part of a good-faith reorganization or transfer of its business.

29Electronic Signatures

Agreements with restoc may be signed electronically. Electronic signatures and scanned or photographed copies of signed pages are valid and enforceable to the same extent as an original signature, where permitted by law.

30Authority to Sign

Each person signing an agreement on behalf of a business represents that they have the authority to bind that business.
